Terms of Use

These Terms of Use (hereinafter referred to as "these Terms") set forth the conditions for using the online platform "UNIBUREIN" (hereinafter referred to as "this Service"), provided by Bunka Capital Research Inc. (hereinafter referred to as "the Company").
Users (as defined in Article 2) are required to agree to these Terms before using this Service.

Article 1 (Scope of Application)

These Terms of Use apply to all relationships between our company and users regarding the use of this service. If there are any specific regulations, guidelines, or policies (hereinafter collectively referred to as "Specific Provisions") published by our company within the service, and these differ from these Terms of Use, the Specific Provisions will take precedence. However, if there are no special provisions in the Specific Provisions, these Terms of Use will apply.

Article 2 (Definitions)

In these Terms of Use, the following terms are defined as follows:

  • "User" refers to individuals, corporations, and other organizations that agree to these Terms of Use and use this service. This includes universities, research institutions, and companies, as well as individual researchers and other institutions recognized by our company.
  • "Member" refers to users who have completed the prescribed registration process for this service.
  • "Researcher" refers to users engaged in research activities at universities, research institutions, or corporate research laboratories who publish their research seeds or research content through this service.
  • "Corporate User" refers to users who utilize this service to leverage research seeds and research content for problem-solving or joint research.
  • "Matching" refers to the process where researchers and corporate users connect and collaborate through this service to provide and utilize technology, services, and research content, or engage in discussions and evaluations toward such collaboration.

Article 3 (Registration and Account Management)

Those who wish to use this service must agree to comply with these Terms of Use and provide the required registration information in accordance with the method specified by the company.

The company may deny a registration application if it determines that the applicant falls under any of the following:

Providing false information

Violating or being likely to violate these Terms of Use

Having previously violated these Terms of Use and had their service usage suspended or registration revoked

Any other case deemed inappropriate by the company

Members must promptly report any changes to their registered information using the method specified by the company.

Article 4 (Service Content)

This service primarily provides the following functions:

A function for researchers to register and publish their research content and technology seeds

A function for corporate users to register and publish their challenges, technology needs, and requests for joint research and development

A search and browsing function, as well as a communication function, for mutual matching between researchers and corporate users

Support for contract negotiations and intellectual property management by Industry-Academia Aggregators (Coordinators) (available under a separate paid plan)

We may change, add, or discontinue the contents of this service without prior notice to users. We bear no responsibility for any disadvantages or damages incurred by users due to such changes, additions, or discontinuations.

Article 5 (Usage Fees, etc.)

The basic functions of this service are available for free. However, for separately designated paid plans, users must comply with the fees and payment terms set by us.

We may revise the usage fees, and the revised fees will take effect when we notify or publish them using the method we determine.

Article 6 (Intellectual Property Rights and Published Information)

The intellectual property rights of any text, images, research summaries, corporate information, or other content (hereinafter referred to as "User-Submitted Information") published by users on this service belong to the user who created orowns the content.

We may duplicate, modify, publish, and distribute User-Submitted Information to the extent necessary for the operation of this service.

Users who obtain research results, know-how, confidential information, etc., from other users through this service must comply with the conditions separately set by the relevant user (such as NDA agreements) and must not duplicate, disclose, or transfer such information without permission.

Article 7 (Prohibited Activities)

Users are prohibited from engaging in the following activities when using this service:

  • Violating laws or public order and morals
  • Engaging in criminal activities or activities related to crime
  • Causing harm or disadvantages to our company, other users, or third parties, or engaging in activities that may do so
  • Interfering with the operation of this service or engaging in activities that may do so
  • Using or disclosing confidential information obtained through this service for improper purposes or to third parties
  • Violating regulations set by the company
  • Any other activities deemed inappropriate by the company

Article 8 (Confidentiality)

Users must not disclose or leak technical information, know-how, business information, or other confidential information obtained through this service from other users or our company to third parties without prior written consent from the owner of the information.

However, this restriction does not apply if disclosure is required by law or for other legitimate reasons.

Article 9 (Contract Formation and Collaboration Details)

When collaboration such as joint research or licensing agreements is established between researchers and corporate users, the specific contract terms must be negotiated and concluded at the responsibility and discretion of both parties.

Our company or our coordinators may provide contract templates and facilitate discussions, but we do not act as representatives of the contracting parties, nor do we guarantee the validity, accuracy, or legality of the contracts.

Article 10 (Contract Termination, etc.)

We may cancel a user's registration or temporarily suspend their use of the service without prior notice if they fall under any of the following:

Violating any provisions of these Terms of Use

Providing false registration information

Engaging in actions that significantly harm our company or other users

Any other case where we deem it inappropriate for the user to continue being registered

We bear no responsibility for any damages incurred by users due to cancellation or suspension of service under the above conditions.

Article 11 (Disclaimer)

We do not guarantee the effectiveness, accuracy, completeness, or usefulness of the information, research results, or matchmaking obtained through this service.
We bear no responsibility for contracts or negotiations concluded or discussed through this service. The ownership of research results, licensing terms, and contract details must be determined at the discretion and responsibility of the users.
We are not responsible for any disputes between users or between users and third parties. However, if we determine that intervention is necessary, we may cooperate to resolve the issue within a reasonable scope.
We are not liable for any damages resulting from system failures, maintenance, communication line or computer accidents, natural disasters, or other force majeure events related to the provision of this service.
Depending on the user's country, legal differences may lead to uses of the service that do not conform to these Terms. While UNIBUREIN primarily complies with Japanese law and considers other legal requirements, we may restrict access to certain regions if deemed disadvantageous to users.

Article 12 (Service Changes and Termination)

We may change, suspend, or terminate all or part of this service without prior notice to users.
We are not liable for any damages incurred by users due to changes, suspension, or termination of the service.

Article 13 (Handling of Personal Information)

We handle personal information obtained through the use of this service in accordance with our separately established "Privacy Policy."

Article 14 (Changes to Terms)

We may change these Terms of Use without prior notice to users in the following cases:
• When the change benefits users in general
• When the change does not contradict the purpose of the service and is deemed reasonably necessary
If we change these Terms, we will notify users by posting the details and effective date on the service or through other appropriate means.
By continuing to use the service after the effective date of the revised Terms, users are deemed to have agreed to the changes.

Article 15 (Governing Law and Jurisdiction)

These Terms of Use shall be governed by and interpreted in accordance with Japanese law.
In the event of a dispute arising in connection with these Terms or this service, the Tokyo District Court or Tokyo Summary Court shall have exclusive jurisdiction as the court of first instance, depending on the amount in controversy.

Article 16 (Consultation Matters)

If there are any matters not stipulated in these Terms or if there is any ambiguity in their interpretation, our company and the users shall consult in good faith to reach an amicable resolution.
